1. Scope These Terms and Conditions govern the sale of online design services provided by ProEcard, a UK-based sole trader.

2. Services ProEcard offers online design services, including ecard and video design.

3. Free Design and Quote ProEcard provides a free design and quote for all ecard and video services. There is no obligation to purchase until the customer explicitly requests the service and design.

4. Payment Payments for services can be made by bank transfer or online via card.

5. Pricing The maximum value of any quoted design service is £2000.

6. Intellectual Property

• Ownership: ProEcard retains ownership of all intellectual property rights in the designs created, including copyrights, trademarks, and patents.
• Usage Rights: Upon full payment, the customer will be granted a non-exclusive, non-transferable license to use the design for their intended purpose. This license does not grant the customer the right to reproduce, modify, or distribute the design without ProEcard's prior written consent.

7. Revisions and Changes ProEcard will provide a reasonable number of revisions to the design to ensure the customer's satisfaction. However, excessive revisions or requests that significantly alter the original scope of the project may be subject to additional charges.

8. Delivery and Deadlines ProEcard will strive to deliver the completed design within the agreed-upon timeframe. However, ProEcard shall not be liable for any delays caused by factors beyond its control, such as force majeure events or the customer's failure to provide necessary information or approvals.

9. Cancellation and Refunds

• Cancellation: Customers may cancel their order prior to the commencement of design work.
• Refunds: Refunds will be issued in the original payment method, subject to ProEcard's discretion. If the customer cancels after design work has commenced, ProEcard may retain a portion of the fee to cover costs incurred.

10. Limitation of Liability ProEcard shall not be liable for any loss or damage, whether direct, indirect, or consequential, arising from the use of its services. This includes, but is not limited to, lost profits, business interruption, or data loss.

11. Governing Law These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. 

12. Entire Agreement These Terms and Conditions constitute the entire agreement between the parties and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.  

13. Changes ProEcard reserves the right to amend these Terms and Conditions at any time. Any changes will be effective upon posting on the ProEcard website.
